Service Terms
Engagement Process
Payment Terms
Consulting: NET 14 days
Development: 50% upfront, 50% on completion
Currency: Australian Dollars (AUD)
Late Fees: 1.5% per month on overdue amounts
GST: Added where applicable
Expenses: Pre-approved expenses billed separately
Client Responsibilities
Information & Access
- • Provide accurate project requirements
- • Share necessary system access and credentials
- • Supply relevant documentation and data
- • Participate in scheduled meetings and reviews
Timelines & Feedback
- • Respond to requests within agreed timeframes
- • Provide timely feedback on deliverables
- • Attend scheduled project meetings
- • Approve key milestones before proceeding
Intellectual Property
Client Ownership
Custom work product created specifically for your project becomes your intellectual property upon full payment.

Prime Vector Retention
We retain rights to our pre-existing intellectual property and methodologies.

Open Source Contributions
We may contribute general improvements back to open source projects (OAS, DACP) without including client-specific implementations or confidential information.
Confidentiality
Our Commitments
- • Protect all client confidential information
- • Use information only for agreed project purposes
- • Secure storage and transmission of data
- • No disclosure to third parties without consent
- • Return or destroy confidential materials on request
Mutual Expectations
- • Mark confidential information clearly
- • Separate NDA for highly sensitive projects
- • Reasonable security measures by both parties
- • No reverse engineering of proprietary systems
- • Confidentiality survives contract termination
Service Limitations
Liability Limitations
Professional Services: Our liability is limited to the value of services provided for the specific project where issues arise.
Third-Party Integrations: We are not liable for issues arising from third-party APIs, LLM services, or external dependencies.
Data and Security: While we implement reasonable security measures, clients are responsible for their own data backup and security policies.
Service Boundaries

Contract Termination
Termination Conditions
By Client: 14 days written notice for convenience
By Prime Vector: 14 days notice or immediate for cause
For Cause: Non-payment, breach of terms, or illegal activity
Work Product: Client receives completed work upon payment
Outstanding Fees: Due within 7 days of termination
Confidentiality: Obligations continue indefinitely
Transition Support: We provide reasonable assistance to help transfer knowledge and work product to your team or another provider.
Australian Consumer Law
Our services come with guarantees that cannot be excluded under Australian Consumer Law. For major failures with the service, you are entitled to:
- • Cancel your service contract with us; or
- • Receive a discount on the price paid
- • Compensation for damages and losses
- • Request reasonable compensation for damages
- • Expect services to be provided with reasonable care and skill
- • Receive services fit for their intended purpose
